Exhibit B - Billing Agents
Effective for New Customers: February 6, 2026
Effective for Existing Customers: March 11, 2026
1. Contracting Entity
Kliken GmbH acts solely as a billing agent or merchant of record on behalf of Kliken for certain customers and jurisdictions. Kliken GmbH is authorized to invoice, collect, and process payments for the Services, including applicable taxes, refunds, and chargebacks, in accordance with the Master Services Agreement and Kliken’s Cancellation and Refund Policy. Kliken GmbH does not provide the Services and is not responsible for service delivery, advertising performance, platform approvals, or compliance with third-party platform policies. The contractual relationship for the Services remains solely between the Customer and Kliken, as governed by the Master Services Agreement.
2. Role of Kliken GmbH
Kliken GmbH, a wholly owned subsidiary of Sitewit Corp, may act exclusively as:
- Billing Agent
- Collections Agent
- Payment Processor Liaison
Kliken GmbH does not:
- provide or deliver any Services;
- operate, maintain, or control any aspect of the platform;
- modify this Agreement or enter into contracts on behalf of Customer;
- assume legal, operational, or service obligations under this Agreement.
3. Authority of Billing Agent
When acting as Billing Agent, Kliken GmbH is authorized only to:
- issue invoices;
- collect payments on behalf of Sitewit Corp;
- process refunds as directed by Sitewit Corp;
- transmit payment confirmations and account status information.
All billing activities are performed solely in a ministerial capacity.
4. Payments & Tax Treatment
Payments made to Kliken GmbH in its role as Billing Agent are deemed payments made directly to Sitewit Corp and satisfy Customer’s payment obligations to Sitewit Corp under the Agreement once received in cleared funds. Customer’s tax responsibilities are described in the Master Services Agreement. Kliken GmbH is not responsible for determining, calculating, or remitting taxes except where required by applicable law.
5. Relationship Limitation
Kliken GmbH:
- is not Customer’s agent, representative, or service provider for any purpose other than billing;
- does not establish or maintain any commercial relationship with the Customer;
- may not receive legal notices on behalf of Sitewit Corp or Customer;
- has no liability arising from the Services.
All obligations relating to the Services—including support, platform integration, data protection, and compliance—remain solely with Sitewit Corp.
6. Communications
Billing communications may come from:
- Sitewit Corp,
- Kliken GmbH (as billing agent),
- authorized payment processors (e.g., Stripe, PayPal, banking institutions).
Any non-billing communications (technical support, product updates, account operations) originate solely from Sitewit Corp.
7. Termination of Billing Agent Role
Sitewit Corp may change or discontinue the use of Kliken GmbH as Billing Agent at any time, including transitioning to direct billing through Sitewit Corp or another designated entity. This change does not affect Customer’s contract or obligations under this Agreement.
