Cancellation & Refund Policy

1. Purpose and Scope
This Cancellation & Refund Policy ("Policy") explains when and how customers may cancel services and when refunds may be issued for fees and advertising budgets associated with Kliken products and services (the "Services").
This Policy forms part of, and is incorporated by reference into, the Master Services Agreement (MSA) between Sitewit Corp, a Florida corporation doing business as Kliken ("Kliken", "we", "us") and each customer ("Customer", "you"). Capitalized terms used but not defined in this Policy have the meanings given in the MSA.
Where there is a conflict between this Policy and the MSA on commercial matters, the MSA controls. Nothing in this Policy limits any non-waivable rights you may have under applicable consumer protection laws.
2. Key Definitions
For the purposes of this Policy:
- Fees means subscription, setup, configuration, platform access, or other service fees charged by Kliken for use of the Services.
- Ad Budget or Prepaid Media means funds allocated or prepaid by Customer for use as advertising spend on third-party advertising platforms through the Services.
- Campaign means an advertising campaign configured and managed through the Services that uses Ad Budget to buy media on third-party advertising platforms.
- Subscription means an ongoing, term-based access plan to the Services (monthly or annual), with or without Ad Budget.
3. General Principles
3.1 Fees Are Generally Non-Refundable.
As stated in the MSA, Fees are non-refundable except:
- where required by applicable law; or
- where this Policy expressly provides otherwise.
3.2 Unused Prepaid Ad Budget.
Unused Ad Budget or Prepaid Media will either be refunded to you or, where permitted, credited to your account for future use, as described in this Policy and in the applicable product terms.
3.3 Legal Requirements.
In some jurisdictions (particularly for consumers), mandatory laws may grant additional rights (e.g., cooling-off periods, pro-rated refunds). Where such laws apply and conflict with this Policy, we will honor the non-waivable statutory rights.
3.4 Platform Decisions.
Advertising platforms independently control ad approvals, delivery, enforcement, and billing. Kliken is not responsible for platform decisions and such decisions do not, by themselves, entitle Customer to a refund of Kliken Fees.
3.5 Refund Request Time Limits.
Unless a longer period is required by applicable law, any request for a refund under this Policy must be submitted within one hundred eighty (180) days of the applicable charge or bill date. After that time, we generally will not consider refund requests for that charge.
4. Campaign Products with Ad Budget
This section applies where Customer purchases a campaign or plan that includes an Ad Budget or Prepaid Media component.
4.1 Campaign Purchased but Never Goes Live
If you purchase a campaign and, despite reasonable efforts by you and by us, the campaign never goes live and no ad impressions are served:
Service / Platform Fees:
- If you cancel the campaign before we have begun configuring your account and campaigns, we will refund any setup, configuration, or platform access Fees you paid for that campaign.
- Once we have begun configuring your account and campaigns, those Fees are non-refundable.
Ad Budget / Prepaid Media:
- Any unused Ad Budget or Prepaid Media that was not spent on advertising (for example, because no ads were served) will be refunded to you or, at your choice, credited to your account for future campaigns.
We are not responsible for delays or failures caused by missing information, incomplete platform accounts, non-compliant websites or products, or other issues on your side or on third-party platforms. However, we will not keep Ad Budget that has not been used for media spend.
If your campaign does not go live within forty-five (45) days of purchase primarily because of a technical issue in the Services or their integrations, and not due to your account configuration, content, or decisions of any advertising platform, we will refund both (a) the applicable Fees for that campaign and (b) any Ad Budget or Prepaid Media that has not been spent on media, subject to any non-waivable requirements of applicable law.
4.2 Campaign Disapproved or Cancelled Due to Platform Policy (No Serving)
If a campaign is configured and submitted but is disapproved by an advertising platform (for example, due to the website, products, business practices, or platform policies) and as a result no ads are served:
Service / Platform Fees:
- Fees for configuration, setup, or access to the Services remain non-refundable. Platform disapprovals do not constitute a breach by Kliken.
Ad Budget / Prepaid Media:
- Any Ad Budget that was not actually spent on media will be refunded or, at your choice, credited to your account for future use.
We may, but are not obligated to, assist with platform appeals. We do not guarantee approval, reinstatement, or any specific outcome.
4.3 Campaigns That Launch and Run (Media Spend Occurs)
If a campaign has launched and has served ads (impressions, clicks, or other delivery) on one or more advertising platforms:
Service / Platform Fees:
- Fees for the Services are non-refundable once the campaign period begins.
Used Ad Spend:
- Any portion of Ad Budget that has already been spent on media (as reported by the relevant platforms) is non-refundable.
Unused Ad Budget:
If a campaign is cancelled or ends with remaining unused Ad Budget, we will, as described in the applicable product terms:
- Refund the unused balance; or
- Credit it to your Kliken account for future campaigns.
In some cases, where an operational campaign is ended early due to your request, a dispute you raise, or issues related to your account, website, products, or content, we may, where permitted by law, charge a reasonable cancellation or refund processing fee. Any such fee may be deducted from the amount we otherwise refund or credit, or charged separately, as described at the time of cancellation.
We do not guarantee specific performance, conversions, or return on ad spend, and poor performance alone does not qualify for a refund.
5. Subscription Products Without Ad Spend
This section applies to products that are purely subscription-based (for example, software, analytics, or access-only offerings) and do not include Ad Budget.
5.1 Monthly Subscriptions
- Monthly subscription Fees are billed in advance for each monthly period.
- Fees are non-refundable once a monthly period has begun, except where required by applicable law.
- If you cancel a monthly subscription:
- Your access continues until the end of the current billing period;
- The subscription will not renew for subsequent periods;
- You will not receive a pro-rated refund for the remainder of the current billing period.
5.2 Annual Subscriptions
- Annual subscription Fees are billed in advance for a 12-month term.
- Fees are non-refundable if you cancel before the end of the term, except where required by applicable law.
If you cancel an annual subscription for your own convenience:
- Your access continues until the end of the paid annual term;
- The subscription will not renew for the next term;
- You will not receive a pro-rated refund of annual Fees.
If Kliken discontinues the applicable Service or terminates your annual subscription without cause before the end of your paid term, we may provide a pro-rated refund of the unused portion of your annual subscription Fees, except where a different remedy is required by applicable law.
Nothing in this section limits any non-waivable rights that consumers may have under applicable local law (for example, certain cooling-off rights or refund rights in specific jurisdictions).
6. How to Request a Cancellation or Refund
To cancel Services or request a refund under this Policy (within the applicable time limits described in Section 3.5):
- Use the cancellation options available in your account dashboard where provided; or
- Contact us at [email protected] or through our support channels, and include:
- Your account email address;
- The product or campaign name;
- The reason for cancellation or refund request;
- Any relevant order IDs or transaction details.
We may request additional information to verify your identity and to understand the nature of your request. Refunds, where approved, will generally be processed to the original payment method used for the purchase, unless otherwise required by law or technically impracticable.
7. Chargebacks and Disputes
We encourage you to contact us first to resolve any billing or service issues. If you initiate a chargeback or dispute with your payment provider without first attempting to resolve the issue with us, we may:
- Suspend or terminate access to the Services while the dispute is pending; and
- Treat repeated or abusive chargebacks as a violation of the MSA.
Nothing in this section is intended to limit any rights you may have to dispute transactions with your bank or payment card provider in accordance with their terms.
8. Consumers and Local Law
This Policy is intended primarily for business customers. However, where you use the Services as a consumer, or where local laws provide you with additional non-waivable rights (such as cooling-off periods or specific refund rights):
- We will honor those rights to the extent required by law; and
- If this Policy conflicts with such mandatory legal rights, the mandatory law will prevail for affected consumers.
